General standard terms and conditions
The contract terms and conditions are valid for agreements between the JBH Management & Personalberatung Herget (in the following referred to as JBH) and its clients for all consultation services agreed due to the performance overview if there are no other expressive written agreements or legally required stipulations.
JBH exercises its activity in the sense of consulting service in accordance with the acknowledged rules of the profession group. Object of the consultation contract is the agreed performance not a certain economic success. The contract confirmation of JBH is regarded as business foundation for the respective service.
The loyal binding towards the client obliges JBH to render an objective consultation only geared to the target of the client.
JBH obliges itself to treat all information received by the client strictly confidentially and to use them exclusively for the implementation of the contract. If it consults third parties to fulfil its tasks JBH obliges itself to carry them out with the same carefulness. The duty of secrecy also exceeds the duration of cooperation.
Within the context of its contractual tasks JBH is liable to the client only for intention and gross negligence.
If extra costs arise after the contract confirmation due to modification and additional wishes of the client, JBH can calculate them. This does also apply if such extra costs are based on other reasons, which were not foreseeable at the placing of order despite the necessary care. Furthermore, modifications of the contract volume after contract confirmation require an expressive written agreement between the parties.
If the client does not enlist the services of JBH wholly or partly contrary to the agreement JBH has the claim for payment like at the implementation of the contractually arising works or for the works already rendered until this time.
Contracts to JBH are regarded as exclusive contracts on the part of the client.
Fee: for the commonly agreed services JBH invoices a consultation fee to an amount previously agreed, which is to be paid within 14 days after invoicing without any deduction. If not, interest on arrears and dunning charge to the usual amount will accrue.
The place of performance and place of jurisdiction is Munich.
